The Agency Agreement
The following outlines the terms between Blu Shift Creative (the Agency) and You (the Creator), which form a TikTok LIVE Agency agreement.
Term
You can withdraw from the agency at any time for any reason without approval from the agency.
The Agency can withdraw from this relationship after 30 days of joining the agency.
The relationship
The Agency will provide:
Access to our Creator Network
1 to 1 support and content strategy plans
Support and protections from violations and bans
Opportunities to be part of TikTok account take-overs, spotlights, and in person meet-ups around the US.
Exclusive agency campaigns, leaderboards and tournaments with prizes
World class LIVE streaming education and support
Access to our private creator only Discord
The Creator confirms:
They will regularly stream on TikTok Live with the intention to increase following and revenue paid directly to Creator by TikTok LIVE.
They will follow best practices for account growth and earning in relation to streaming time, presentation and quality.
They will adhere to TikTok Community Guidelines
They are 18 years old and reside in the United States
All Content posted on TikTok will be Creator’s own original creation or that of its third-party licensors and do not and will not infringe the Intellectual Property Rights of any third party
Compliance. Creator agrees to adhere to all Applicable Laws, FTC Endorsement Guides, the Platform Policies, the TikTok Fee Policy, and the TikTok Network Relationship Rules.
Creator shall hold Confidential Information in strict confidence and not to use any Confidential Information for any purpose except to perform its obligations under this Agreement. Creator shall protect the Confidential Information using at least the same standard of care as it uses to protect its own Confidential Information of a similar nature from unauthorized use or disclosure, but in no event less than reasonable care. Except with Agency’s prior written approval, Creator shall not, in any way, directly or indirectly, disclose or distribute any Confidential Information to, or permit the reproduction of any such Confidential Information (in whole or in part) by, any person, firm, corporation, association or any other operation or entity, or use such Confidential Information, for any reason or purpose, except as expressly permitted hereunder. Confidential information means: (a) any information which Agency or TikTok has either (i) advised Contractor is confidential (ii) shared in the Agency private Discord server, on email or on conference calls (iii) or which under the circumstances, should reasonably be recognized as confidential, including, but not limited to, any information regarding the subscribers to the Platform; (b) any information with respect to TikTok’s Intellectual Property Rights; (c) any work done, and any information provided, in connection with the performance of the Services or other obligations of Contractor hereunder; and (d) the terms of this Agreement including all information relating to TikTok’s fee and reward structures.
Compensation
No payment for any service listed above is required between the Creator and the Agency. The Creator retains 100% of all revenue generated from being Live on TikTok LIVE.
Extent of the relationship
For the avoidance of doubt this TikTok Live management relationship does not extend to any activity outside TikTok Live, unless a specific additional agreement is in place. This agreement does not interfere with or impact any existing or future creator or artist management relationships you have with third parties.
